Hi,

I work for a company A on H1B, I am being approached by another company B, who wants me to give partnership on company B and pay me on 1099 for the work I do for them.

Is this legal?, can I be a silent partner on company B and not take any compensation?

It is not legal. If you are a true silent partner , that is fine but that means you cannot work even for free. Now that is the law .... I know people go ahead and do things against the law (work for free or cash) thinking how CIS will know if I work for free or cash ... but that is taking risk
